End User License Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING THIS APPLICATION.

This End User License Agreement ("Agreement") is a legal agreement between you ("You" or "User") and EHM Tech LLC ("Company", "we", "us", or "our") for the Pay44 paycheck calculator mobile application ("Application" or "App").

By downloading, installing, or using this Application, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. You can review the most current version of this Agreement at https://pay44.app/eula/.

1. License Grant

Subject to your compliance with this Agreement, EHM Tech LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application for your personal, non-commercial purposes strictly in accordance with this Agreement.

2. License Restrictions

You agree NOT to:

• Distribute or make the Application available over a network where it could be used by multiple devices at the same time
• Copy, modify, or create derivative works of the Application
• Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Application
• Remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in the Application
• Use the Application in violation of any applicable laws or regulations
• Use the Application for any commercial purposes without our prior written consent
• Rent, lease, lend, sell, redistribute, or sublicense the Application

3. Ownership

The Application is licensed, not sold. EHM Tech LLC retains ownership of all copies of the Application and reserves all rights not expressly granted to you in this Agreement. The Application is protected by copyright, trademark, and other intellectual property laws.

4. Financial Calculations Disclaimer

IMPORTANT NOTICE: The Application provides paycheck and tax calculations for informational and educational purposes only. All calculations are estimates based on the information you provide and current tax tables.

THE APPLICATION IS NOT A SUBSTITUTE FOR PROFESSIONAL TAX OR FINANCIAL ADVICE. Tax laws are complex and change frequently. You should consult with a qualified tax professional or financial advisor for official calculations and advice specific to your situation.

We make no representations or warranties about the accuracy, reliability, completeness, or timeliness of any calculations or information provided by the Application. You assume full responsibility for any decisions made based on information obtained from the Application.

5. Subscription Terms

The Application offers optional auto-renewable subscriptions. The available subscription durations and pricing in your local currency are displayed in the Application before you confirm a purchase. By purchasing a subscription, you agree that:

• Payment will be charged to your Apple ID or Google Play account at confirmation of purchase.
• Subscriptions renew automatically at the stated cadence and price unless you cancel at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period.
• If a free trial or introductory offer is provided, it will automatically convert to a paid subscription at the then-current price unless you cancel before the trial period ends.
• You can manage or cancel subscriptions at any time using your device account settings.
• EHM Tech LLC is responsible for the Application, its content, and customer support. Refunds and billing disputes are handled by Apple or Google in accordance with their store policies.

6. Privacy and Third-Party Services

The Application uses third-party services to provide analytics and purchase management. For complete information about data collection, usage, and your privacy rights, please review our Privacy Policy at https://pay44.app/privacy/.

If you download the Application from the Apple App Store, you acknowledge that this Agreement is concluded solely between you and EHM Tech LLC, and not with Apple Inc. EHM Tech LLC, not Apple, is responsible for the Application and its content. Apple and its subsidiaries are third-party beneficiaries of this Agreement.

7. Warranty Disclaimer

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EHM TECH LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EHM TECH LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.

IN NO EVENT SHALL EHM TECH LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT OF FIFTY U.S. DOLLARS ($50.00).

9. Indemnification

You agree to indemnify, defend, and hold harmless EHM Tech LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Application or your violation of this Agreement.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

11. Updates and Modifications

EHM Tech LLC may from time to time develop patches, bug fixes, updates, upgrades, and other modifications to the Application ("Updates"). Updates may be automatically installed without providing any additional notice or receiving any additional consent. You consent to such automatic Updates.

12. Governing Law and Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement or the Application shall be resolved exclusively in the state or federal courts located in Ohio.

13. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and EHM Tech LLC regarding the Application and supersedes all prior or contemporaneous understandings and agreements.
